    These terms of use ("Terms") mandate the terms on which the registered professionals or entities("You" or "Your" or "Yourself" or "User") access and register on the website www.complyright.in owned and operated by Scalo Technologies Private Limited ("Company"), having its registered office at 11, Sanghvi Jewel App, Hindu Cemetery, Malad, Mumbai, Malad West, Maharashtra, India, 400064, collectively referred to as ("the Platform"), for the purpose of availing the Services (as defined hereinafter) provided by the Company.

    These Terms are an electronic record in terms of the Indian Contract Act, 1872; The Information Technology Act, 2000 and rules made thereunder as applicable. The Terms is (i) published in accordance with the provisions of Rule 3(1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and amendments from time to time; and (ii) generated by a computer system and does not require any physical, electronic, or digital signatures.

    Please read the Terms and Privacy Policy ( "Privacy Policy" ) carefully before using or registering on the Platform or accessing any material, information through the Platform. By accessing the Platform as a User, You accept these Terms and Privacy Policy and agree to be legally bound by the same. Further, by furnishing Your Personal Information (as defined in the Privacy Policy) ("Personal Information") to the Company or giving Your consent to the Company to access Your Personal Information for the purpose of rendering the Services (as defined below), You also agree that You are interested in availing the Services through the Platform in accordance with these Terms.

    • A registered finance professional or an authorized representative of a financial entity operating in India. If you are using the Service on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

    2. Description of Service

    www.complyright.in provides a platform for finance professionals and entities to onboard clients, manage regulatory compliance documents, and manage client-related activities in accordance with applicable Indian laws and regulations. We may modify, suspend, or discontinue any part of the Service at our discretion, with or without notice.

    3. User Eligibility and Accounts

    • Eligibility: The Service is intended solely for finance professionals or entities registered with relevant Indian regulatory authorities (e.g., SEBI, RBI). You must provide proof of registration upon request.
    • Account Creation: To use the Service, you must create an account with accurate, current, and complete information. You agree to update this information as needed.
    • Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
    • Account Suspension: We may suspend or terminate your account if you violate these Terms, provide false information, or fail to comply with applicable regulations.

    4. User Responsibilities

    You agree to:

    • Use the Service only for lawful purposes and in compliance with Indian laws, including the Information Technology Act, 2000.
    • Ensure that all client data uploaded or processed through the Service complies with applicable Indian laws and regulations, including those related to privacy and data protection.
    • Not misuse the Service by engaging in activities such as money laundering, fraud, or unauthorized data sharing.

    5. Intellectual Property

    • Our Content: All content, software, and materials on the Service (e.g., text, logos, designs) are owned by Scalo Technologies Private Limited or our licensors and protected under Indian copyright and intellectual property laws. You may not reproduce, distribute, or modify these without our written consent.
    • Your Content: By uploading client data, documents, or other materials ("User Content"), you grant us a non-exclusive, royalty-free, worldwide license to use, store, and process it as necessary to provide the Service. You warrant that you have the right to upload such content and that it complies with applicable laws.

    6. Fees and Payments

    • Pricing: Access to certain features may require payment of fees, detailed on our pricing page. All fees are in Indian Rupees (INR) and exclusive of applicable taxes (e.g., GST), which you are responsible for paying.
    • Billing: You authorize us to charge your provided payment method for one-time or recurring fees. Payments are non-refundable except as required by law or stated in our refund policy.
    • Non-Payment: We may suspend your access to the Service if payments are overdue.

    7. Data Privacy and Security

    • We handle your data and your clients' data in accordance with our Privacy Policy and applicable Indian laws and regulations.
    • You are responsible for obtaining necessary consents from clients before uploading their personal data to the Service.
    • We implement reasonable security measures, but we are not liable for unauthorized access beyond our control (e.g., due to your negligence).

    8. Third-Party Services

    The Service may integrate with third-party tools (e.g., payment gateways, KYC providers). We are not responsible for the performance, availability, or terms of these third-party services, and your use of them is at your own risk.

    9. Disclaimers

    • The Service is provided "as is" and "as available." We do not guarantee uninterrupted access, error-free operation, or compliance with all regulatory requirements on your behalf.
    • You are solely responsible for ensuring your use of the Service meets your legal and professional obligations.

    10. Limitation of Liability

    To the fullest extent permitted under Indian law, Scalo Technologies Private Limited shall not be liable for any indirect, incidental, or consequential damages (e.g., loss of profits, data, or business opportunities) arising from your use of the Service, even if advised of such possibilities.

    11. Indemnification

    You agree to indemnify and hold Scalo Technologies Private Limited, its affiliates, and employees harmless from any claims, losses, or damages (including legal fees) arising from your use of the Service, your User Content, or your breach of these Terms or applicable laws.

    12. Termination

    • We may terminate or suspend your access to the Service at any time, without notice, for reasons including violation of these Terms, regulatory non-compliance, or non-payment.
    • You may terminate your account by contacting us at [email protected]. Upon termination, your access ceases, but obligations like Indemnification and Limitation of Liability survive.

    13. Changes to Terms

    We may update these Terms periodically. Significant changes will be notified via email or a notice on the Service. Your continued use after changes are posted constitutes acceptance of the updated Terms.

    14. Governing Law and Dispute Resolution

    • These Terms are governed by the laws of India.
    • Any disputes arising from these Terms shall be resolved exclusively in the courts of Mumbai, India.
